1. Agreement to Terms

By accessing or using Mosaic (“the Service”), operated by Midvale LLC (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

Mosaic is an interactive AI platform. Users select fictional companion characters and engage in live, persistent conversations that include AI-generated text, voice clips, images, and video. Conversation state and long-term “memory” about the user are retained across sessions to support continuity.

3. Eligibility & Account Registration

You must be at least 18 years old to use the Service. You agree to provide accurate information when registering and to maintain the security of your credentials. You are responsible for all activity under your account.

4. AI-Generated Content

All companion responses, voice clips, images, and video are produced by artificial intelligence. The companions are entirely fictional. Their names, personalities, voices, and appearances are AI-generated and do not represent, depict, or impersonate any real person, living or dead.

While we take measures to prevent resemblance to real individuals, AI-generated content may occasionally produce incidental similarities. Such similarities are unintentional and do not constitute endorsement, affiliation, or representation of any real person.

You acknowledge and agree that:

• All generated content is synthetic and AI-created;
• No real person's likeness, voice, or identity is intentionally used;
• Generated content should not be represented as depicting real individuals;
• The Service is for personal entertainment and companionship only — it is not a substitute for medical, psychological, legal, or financial advice.

5. Acceptable Use

You agree not to use the Service to:

• Generate content depicting, impersonating, or referencing real people without their consent;
• Generate content involving minors in any sexual or violent context;
• Generate content promoting violence, terrorism, or illegal activity;
• Harass, threaten, or defame any person;
• Distribute generated media in a way that misrepresents it as a recording of a real person;
• Circumvent rate limits, content moderation, or access controls;
• Probe, attack, or interfere with the Service's infrastructure or other users' sessions;
• Scrape, resell, or commercially exploit Service outputs at scale without prior written consent.

We reserve the right to suspend or terminate accounts engaged in prohibited use, at our sole discretion.

6. Content Ownership & License

You retain ownership of the prompts you submit. Subject to your compliance with these Terms, you receive a limited, non-exclusive license to use generated media (images and voice clips) tied to your account for personal, non-commercial purposes.

Midvale LLC retains ownership of the underlying AI models, companion designs, dialogue policy, platform technology, and all associated intellectual property. You grant us a royalty-free license to process your prompts, store them, and use anonymized, aggregated derivatives for service improvement.

7. Fees

Mosaic is currently free during early access. We may introduce paid tiers in the future. Any pricing change applicable to existing accounts will be disclosed in advance via email or in-product notification.

8. AI Content Disclaimer

Companion responses are generated by large language models and may be inaccurate, inconsistent, offensive, or hallucinated. Do not rely on the Service for medical, legal, financial, mental-health, or safety guidance. If you are in crisis, contact qualified human services.

9. Termination

You may delete your account at any time from the Account page. Deletion is permanent and cascades through every session, turn, memory record, generated image, and voice clip held on our infrastructure. We may suspend or terminate your access for breach of these Terms, prolonged inactivity, or operational reasons.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee that generated content will be free from errors, artifacts, or unintended content. Generation times may vary; image generation in particular can take several minutes. We do not guarantee uninterrupted service availability.

11. Limitation of Liability

To the maximum extent permitted by law, Midvale LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total cumulative liability will not exceed one hundred U.S. dollars (USD $100) or the amount you paid us in the preceding twelve months, whichever is greater.

12. Indemnification

You agree to indemnify and hold Midvale LLC harmless from any claim or demand arising out of your breach of these Terms or your misuse of the Service.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or site notification. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Travis County, Texas, and you consent to that jurisdiction and venue.
